Terms of Service

These Terms of Service (“Terms”) form a legal agreement between you (“you,” “Client,” or “User”) and Jens Koester Sales Consulting (“we,” “us,” “our,” or the “Consultant”), operated by Jens Koester, based in Toronto, Ontario, Canada. They govern your use of www.jens-koester.com (the “Website”) and any consulting, coaching, advisory, workshop, course, or downloadable services we provide (collectively, the “Services”).

By accessing the Website, booking a call, purchasing a course or workbook, or engaging us for consulting services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Website or our Services.

1. Definitions

  • “Services” — any consulting, advisory, workshop, training, course, or digital product offered by Jens Koester Sales Consulting, whether delivered live, asynchronously, or through digital download.

  • “Materials” — any frameworks, templates, slides, worksheets, recordings, written content, the Startup Sales Strategy Workbook, or other intellectual property created by or for the Consultant and shared with the Client.

  • “Client” — an individual, founder, team, or company that engages the Consultant for Services or purchases a digital product through the Website.

  • “Engagement” — a defined consulting, workshop, coaching, or course agreement, typically described in a separate proposal, statement of work, invoice, or order confirmation.

2. Eligibility and Use of the Website

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Website or purchase Services. By using the Website, you represent that you meet this requirement and that you have the legal capacity to enter into a binding agreement.

You agree to use the Website only for lawful purposes and not to:

  • Misuse, copy, scrape, reverse-engineer, or otherwise exploit the Website or its content in unauthorized ways;

  • Attempt to gain unauthorized access to any part of the Website, our systems, or the systems of our service providers;

  • Use the Website to transmit viruses, malware, spam, or other harmful code;

  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity;

  • Engage in any activity that interferes with or disrupts the Website or the experience of other visitors.

3. Description of Services

We offer the following Services:

  • 1:1 Consulting — individual sales advisory sessions for founders or sales leaders.

  • Founder-Led Sales Consulting — engagements designed for founders selling their product or service themselves.

  • Team Workshops — half-day, full-day, or recurring workshops delivered to startup sales teams.

  • Online Courses — self-paced or cohort-based digital learning programs.

  • Startup Sales Strategy Workbook and other downloadable digital products.

  • Free Strategy Calls — introductory 30-minute calls offered at the Consultant's discretion.

The exact scope, deliverables, timeline, and fees for any paid Engagement will be set out in a separate proposal, statement of work, invoice, order confirmation, or course landing page (each, an “Engagement Document”). In the event of a conflict between these Terms and an Engagement Document, the Engagement Document prevails for the specific Engagement.

4. Bookings, Fees, and Payment

4.1 Bookings and Scheduling

Calls, workshops, and consulting sessions are typically booked through a third-party scheduling tool linked from the Website. By booking a session, you agree to the schedule confirmed at the time of booking. You are responsible for ensuring that the booking time works for your schedule and time zone.

4.2 Fees

Fees for Services are stated on the Website, in the Engagement Document, or in an invoice issued to you. All fees are stated in Canadian dollars (CAD) unless otherwise specified. Fees do not include applicable taxes (e.g., GST/HST, VAT, or other transaction taxes), which will be added where required.

4.3 Payment

Payment is processed by third-party payment processors (such as Stripe, PayPal, or similar). By submitting a payment, you authorize us — or our payment processor on our behalf — to charge the payment method you provided. Unless otherwise agreed in writing, fees are due in full before Services are delivered, except for multi-session or retainer engagements where alternative payment terms are stated in the Engagement Document.

4.4 Late Payments

Invoices are payable on the terms stated on the invoice. If payment is not received by the due date, we may suspend or terminate Services, charge interest on overdue amounts at the lower of 1.5% per month or the maximum rate permitted by law, and recover reasonable collection costs.

5. Rescheduling, Cancellations, and Refunds

5.1 Rescheduling Calls and Sessions

You may reschedule a 1:1 consulting session at no charge with at least 24 hours' notice. Sessions cancelled or rescheduled with less than 24 hours' notice, or for which you do not show up, will be considered delivered and will not be refunded or rescheduled, unless we agree otherwise in writing in exceptional circumstances.

5.2 Workshops and Multi-Session Engagements

Workshops, retainers, and multi-session engagements are typically scheduled in advance with deposits and milestone payments. The cancellation, postponement, and refund terms for these Engagements are set out in the applicable Engagement Document. In the absence of specific terms:

  • Cancellations made more than 14 days before the scheduled start date: refund of fees paid, less any non-recoverable third-party costs incurred and a reasonable administrative fee.

  • Cancellations made 7–14 days before the scheduled start date: 50% of fees paid is non-refundable.

  • Cancellations made less than 7 days before the scheduled start date, or no-shows: 100% of fees paid is non-refundable.

5.3 Online Courses and Digital Products

Due to the nature of digital content, all sales of online courses and downloadable digital products (including the Startup Sales Strategy Workbook) are final and non-refundable once access has been granted or the file has been downloaded, except where required by applicable consumer protection law (for example, where you are an EU/UK consumer with a statutory right of withdrawal — see Section 5.4).

5.4 Statutory Consumer Rights (EU/UK)

If you are a consumer located in the European Union or the United Kingdom, you may have a statutory right to withdraw from a contract for digital content within 14 days of purchase. By purchasing and accessing digital content (e.g., downloading the workbook or starting an online course), you expressly agree to immediate performance and acknowledge that you lose your right of withdrawal once access begins. 5.5 Cancellation by the Consultant

We reserve the right to cancel or reschedule a session, workshop, or Engagement due to illness, emergency, or other unforeseen circumstances. In such cases, we will offer either a rescheduled session or a refund for the affected Service.

6. Client Responsibilities

To get value from the Services, the Client agrees to:

  • Provide accurate and complete information about their business, sales process, and goals;

  • Show up to scheduled sessions on time and prepared;

  • Implement strategies, frameworks, and recommendations in good faith;

  • Communicate openly about challenges, blockers, or changes in scope;

  • Make timely payments in accordance with these Terms and the Engagement Document.

Engagement is a collaboration. The Consultant's ability to deliver value depends in part on the Client's active participation and timely cooperation.

7. No Guarantee of Results

We bring more than a decade of experience and have worked with hundreds of startups. However, sales outcomes depend on many factors outside our control, including market conditions, the Client's product, pricing, team execution, timing, and effort. We do not guarantee any specific revenue, customer, conversion, or business outcome. Any examples, case studies, testimonials, or projections shared on the Website or during Services are illustrative and not promises of similar results.

The Services are educational and advisory in nature and do not constitute legal, financial, accounting, tax, or investment advice. Clients should consult appropriately qualified professionals before making material business decisions.

8. Intellectual Property

8.1 Our Intellectual Property

All content on the Website and within our Services — including text, graphics, logos, images, frameworks, templates, slide decks, video and audio recordings, the Startup Sales Strategy Workbook, course content, and any other Materials — is owned by Jens Koester Sales Consulting or its licensors and is protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License to Clients

Subject to your full payment of fees and your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Materials solely for your own internal business or personal learning purposes.

8.3 Restrictions

You may not, without our prior written consent:

  • Resell, redistribute, sublicense, share, or publish the Materials in whole or in part;

  • Use the Materials to create competing courses, consulting offerings, training products, or other commercial offerings;

  • Remove or alter any copyright, trademark, or proprietary notices;

  • Share login credentials, course access, or downloaded files with third parties.

8.4 Your Content

You retain ownership of any business information, data, documents, or content you share with us during an Engagement (“Client Content”). You grant us a limited license to use Client Content solely as needed to deliver the Services. We may use anonymized or aggregated insights derived from engagements to improve our methodologies, provided no Client is identifiable.

8.5 Testimonials and Case Studies

We will not use your name, logo, or business as a public reference, testimonial, or case study without your prior consent.

9. Confidentiality

Each party agrees to keep confidential any non-public business, financial, technical, customer, or strategic information disclosed by the other party in connection with the Services, and to use such information only for the purposes of the Engagement. This obligation survives termination of the Engagement.

Confidentiality does not apply to information that: (a) is or becomes publicly available without breach of these Terms; (b) was lawfully known before disclosure; (c) is independently developed without reference to the confidential information; or (d) is required to be disclosed by law, regulation, or court order, provided reasonable notice is given to the disclosing party where legally permitted.

Our handling of personal information is described in our Privacy Policy, available at www.jens-koester.com/privacy. By using the Website or Services, you acknowledge our Privacy Policy.

11. Third-Party Services and Links

The Website and our Services may include links to or integrate with third-party platforms, including but not limited to YouTube (Google LLC), Spotify (Spotify AB), Wix (Wix.com Ltd.), payment processors, scheduling tools, and course-hosting platforms. We do not control and are not responsible for these third-party services, their content, or their terms. Your use of any third-party service is subject to that service's own terms and privacy policy.

12. Disclaimers

To the fullest extent permitted by applicable law, the Website, Materials, and Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted or error-free operation.

We do not warrant that the Website will be available without interruption, that defects will be corrected, or that the Website or Materials are free of viruses or other harmful components.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including statutory consumer rights.

13. Limitation of Liability

To the fullest extent permitted by law, in no event shall Jens Koester Sales Consulting, Jens Koester personally, or any of our service providers, be liable for any:

  • Indirect, incidental, special, consequential, exemplary, or punitive damages;

  • Loss of profits, revenue, customers, business opportunities, goodwill, or data;

  • Damages arising from your reliance on the Materials or recommendations,

whether based on contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising out of or relating to these Terms, the Website, the Materials, or the Services, shall not exceed the greater of (a) the total fees actually paid by you to us in the six (6) months preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100).

14. Indemnification

You agree to defend, indemnify, and hold harmless Jens Koester Sales Consulting and Jens Koester personally from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Website or Services; (b) your breach of these Terms; (c) your violation of any law or third-party right; or (d) Client Content provided to us.

15. Term and Termination

These Terms apply from the moment you first access the Website or purchase Services and continue until terminated.

We may suspend or terminate your access to the Website, Materials, or any ongoing Engagement at our discretion if you breach these Terms, fail to pay fees when due, behave in a manner that is abusive, harassing, or unprofessional, or use the Services for unlawful purposes. Termination does not relieve you of any payment obligations accrued prior to termination.

Sections that by their nature should survive termination — including Sections 7 (No Guarantee), 8 (Intellectual Property), 9 (Confidentiality), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), and 18 (Governing Law) — will survive.

16. Force Majeure

Neither party will be liable for any delay or failure to perform obligations (other than payment) caused by events beyond reasonable control, including illness, natural disasters, pandemics, government action, war, civil unrest, internet or utility failures, or third-party platform outages. The affected party will notify the other and use reasonable efforts to resume performance as soon as practicable.

17. Changes to These Terms

We may update these Terms from time to time. The “Last Updated” date at the top of this document indicates when the most recent changes took effect. Material changes will be highlighted on the Website. Your continued use of the Website or Services after the changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Website and Services.

18. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

The parties agree to first attempt to resolve any dispute in good faith through direct discussions. If that fails, the parties may agree to mediation. Any unresolved dispute will be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada, except where applicable consumer protection law in your jurisdiction provides otherwise.

If you are a consumer in the European Union, the United Kingdom, or another jurisdiction whose mandatory law applies, nothing in this section deprives you of the protection afforded by that mandatory law.

19. General Provisions

  • Entire Agreement. These Terms, together with any Engagement Document and our Privacy Policy, constitute the entire agreement between you and us regarding the Services and supersede any prior agreements on the same subject.

  • Severability. If any provision is held to be unenforceable, the remaining provisions will remain in full force.

  • No Waiver. Failure to enforce any right or provision is not a waiver of that right or provision.

  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or part of our business.

  • No Partnership. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between the parties. The Consultant is engaged as an independent contractor.

  • Notices. Notices to us should be sent to jk@jens-koester.com. We may send notices to you at the email address you provided.

  • Language. These Terms are written in English. Any translation is provided for convenience only; the English version controls.
